Terms & Conditions
Last updated: 1 October 2026
1. Introduction
These Terms and Conditions apply to web design, website management, hosting, Google Business Profile support and related services provided by Seasidesign (“we”, “us” or “our”).
By accepting a quotation, making a payment, approving work to commence or otherwise engaging our services, you agree to these Terms and Conditions.
These terms are primarily intended for clients purchasing our services for business purposes. Nothing in these terms affects any statutory rights that cannot legally be excluded.
2. Services
The services we provide will be described on our website, quotation, proposal, invoice or other written agreement.
Services may include website design and development, managed website services, hosting, maintenance, basic SEO setup, Google Business Profile support and related digital services.
Any work outside the agreed scope may be quoted and charged separately.
3. Quotations and Payment
Quotations are normally valid for 30 days unless stated otherwise.
For one-off website projects, a 50% initial payment is normally required before work begins, with the remaining balance payable when the agreed work is completed and before final handover or launch unless otherwise agreed.
Once work has begun, cancellation may result in charges for work already completed and costs reasonably incurred.
Invoices must be paid by the due date shown on the invoice.
For business-to-business transactions, we reserve the right to charge statutory interest and applicable debt-recovery costs on overdue payments where permitted by law.
4. Managed Website Plan
The Seasidesign Managed Website Plan is £49 per month and has an initial minimum term of 12 months, unless a different price or term is agreed in writing.
The monthly fee covers the services stated in the relevant package or proposal, which may include website design, hosting, routine maintenance and agreed website support.
The initial 12-month commitment starts on the date agreed with the client.
You may give notice during the initial term to cancel at the end of the 12-month minimum period.
After the initial 12 months, the agreement continues on a rolling monthly basis unless cancelled by either party giving one month's notice.
Cancellation does not remove liability for payments already due or for the remaining minimum term where the client chooses to end the agreement early without breach by Seasidesign.
5. Client Responsibilities
You are responsible for providing information, text, photographs, logos, login details, approvals and other materials reasonably required to complete the work.
You must ensure that information supplied to us is accurate and that you have permission to use any material supplied.
Delays in supplying content, information, access or approval may delay completion of the project.
We are not responsible for delays caused by the client or by third parties outside our reasonable control.
6. Project Timescales
Any completion date we provide is an estimate unless expressly agreed otherwise in writing.
We will make reasonable efforts to meet agreed timescales, but delays may occur where information or approval is outstanding or where circumstances outside our reasonable control arise.
7. Revisions and Changes
The number or extent of revisions included will be stated in the relevant package, quotation or proposal.
Minor revisions within the agreed scope are included where specified.
Major changes, additional pages, new functionality or work outside the original scope may be charged separately. We will normally discuss additional charges before undertaking such work.
8. Website Hosting and Maintenance
Where hosting and maintenance are included in a Managed Website Plan, Seasidesign will provide those services for the duration of the active agreement.
We will take reasonable steps to maintain the website, apply appropriate updates and keep the service operational.
However, no hosting service, website or online system can be guaranteed to operate without interruption or security incidents.
Third-party outages, hosting-provider failures, software conflicts, malicious attacks and circumstances beyond our reasonable control may occasionally affect website availability.
9. Domains and Third-Party Services
Domain names, premium plugins, software subscriptions, email services, stock photography and other third-party services may be subject to separate licence terms and charges.
Where possible, ownership and renewal arrangements will be explained to the client.
Seasidesign is not responsible for changes to the prices, terms, availability or functionality of third-party services.
10. Intellectual Property
Once all amounts due for a completed one-off project have been paid, the client may use the website and original work created specifically for that project.
This does not transfer ownership of third-party software, WordPress, Divi, plugins, themes, fonts, stock images or other licensed material. Those items remain subject to their respective licences.
Unless otherwise agreed, Seasidesign retains ownership of its own reusable methods, templates, code, systems, know-how and design processes.
You confirm that you have the necessary rights or permissions for any text, photographs, logos, trademarks or other material you provide to us.
11. SEO and Search Engines
Where Basic SEO Setup is included, we will undertake the SEO work described in the relevant package.
This may include items such as page titles and descriptions, heading structure, indexing settings, XML sitemap setup, Google Search Console and other basic technical SEO work.
Search-engine rankings and levels of website traffic depend on many factors outside our control.
Seasidesign does not guarantee search-engine positions, traffic levels, enquiries or sales.
Ongoing SEO, content creation and backlink-building are separate services unless specifically included.
12. Google Business Profile Services
Where Google Business Profile assistance is provided, the client remains responsible for supplying accurate business information and complying with Google's policies.
Approval, verification, suspension, ranking and continued availability of a Google Business Profile are controlled by Google and cannot be guaranteed by Seasidesign.
13. Client Approval
You will have the opportunity to review relevant work before final completion or launch.
Once you approve the website or other work, minor errors subsequently identified will normally be corrected where reasonable.
Requests for additional design changes after approval may be treated as new work and charged separately.
14. Limitation of Liability
We will provide our services with reasonable care and skill.
To the extent permitted by law, Seasidesign will not be responsible for indirect or consequential losses arising from matters outside our reasonable control.
Our total liability relating to a particular service will normally be limited to the amount paid to us for that service during the relevant period.
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
15. Suspension of Services
We may temporarily suspend hosting, maintenance, support or other ongoing services where invoices remain unpaid after reasonable notice or where continued operation could present a security, legal or technical risk.
We will make reasonable efforts to contact you before suspension where circumstances permit.
16. Cancellation and Termination
Either party may terminate an agreement where the other party commits a material breach and fails to remedy it within 14 days of receiving written notice.
For one-off projects cancelled after work has commenced, the client will be responsible for work completed and reasonable costs incurred up to cancellation.
The cancellation provisions for the Managed Website Plan are set out in Section 4.
Any outstanding sums remain payable following termination.
17. Ending a Managed Website Service
When a Managed Website Plan ends, hosting, maintenance, support and other managed services provided by Seasidesign will cease at the end of the agreed service period.
Provided all outstanding amounts have been paid, the client may request a full backup/export of the website files and database at no additional charge.
The client is responsible for arranging suitable replacement hosting and for restoring or installing the website with their new provider.
If requested, Seasidesign can assist with transferring the website to another hosting provider for an agreed migration fee.
Any licences, subscriptions, API keys or accounts supplied and owned by Seasidesign, including licences for premium themes, plugins or other third-party software, do not transfer to the client when the Managed Website Plan ends.
Where such software remains installed on the website, the client may need to purchase their own licence in order to continue receiving future updates, support or premium services.
Seasidesign will remove its own licence credentials and account details before handing over the website.
I think that gives you the best balance: the client isn't held hostage, but you're also not giving away your hosting, licences or migration time for nothing.
18. Changes to These Terms
We may update these Terms and Conditions from time to time.
Changes will not retrospectively alter the price, minimum term or other material terms of an existing agreed project without the client's agreement, except where a change is required by law.
The latest general version will be published on our website.
19. Governing Law
These Terms and Conditions are governed by the laws of England and Wales.
Any dispute will be subject to the jurisdiction of the courts of England and Wales, subject to any mandatory legal rights that apply.
